Terms of Service
These terms are an agreement between you and Saruje LLC, a Maryland limited liability company ("Saruje," "we," "us"), which runs Gold Tally. They cover the Gold Tally app at my.goldtally.app and the website at goldtally.app (together, "Gold Tally"). By creating an account, joining a center or using Gold Tally, you agree to these terms. If you use Gold Tally for a business, you confirm that you can agree to these terms for that business.
1. Who these terms are for
Gold Tally is made for learning centers, tutoring centers, aftercare programs and similar businesses. In these terms, the "center" is the business that holds the account. The "owner" is the person who created the center in Gold Tally. "Staff" are people the owner lets join the center with a join code. The owner is responsible for the center's account, for everyone the owner invites, and for what they do in Gold Tally.
Students may use the check-in kiosk at a center, under that center's supervision. Students do not have their own accounts, and Gold Tally is not offered directly to children.
2. Your account
- Give accurate information and keep it up to date.
- Keep passwords private. Each person should use their own login.
- Tell us right away at support@goldtally.app if you think someone has used your account without permission.
- The kiosk PIN keeps students out of staff screens. It is a convenience, not a security feature.
3. Your center's information
Your center owns the information it puts into Gold Tally, such as student names, birthdays, parent contact details, visit times, notes and staff hours ("center data"). We use center data only to provide Gold Tally to your center, as described in our Privacy Policy. We do not sell it and do not use it for advertising.
Your center is responsible for:
- having the right to enter center data into Gold Tally, including any permission or consent from parents or guardians that the law or your own policies require;
- entering only the information you need. Do not enter Social Security numbers, payment card numbers or detailed medical records. Staff-only alerts should be short notes, such as "tree nut allergy";
- following the laws and rules that apply to your center, including privacy, education and child-care rules.
You can download your attendance, schedule and staff hours as CSV files at any time while your account is open.
4. Parent text messages
If your plan includes pickup texts, your center may send short text messages to parents through Gold Tally. Before you send texts to a parent, your center must have that parent's permission to receive them, and you must record that permission in Gold Tally. Every message includes a way to opt out (replying STOP). Your center is responsible for having that permission and for honoring opt-outs. Message and data rates from the parent's phone carrier may apply. Each plan with texts includes a monthly allowance, described on our pricing page.
5. Free trial, plans and billing
- Free trial. A new center gets a 30-day free trial with every feature. No card is needed to start. One trial per center.
- Plans. Plans, prices and what each plan includes are shown on our pricing page and in the app. Monthly plans renew every month and yearly plans renew every year until cancelled. By choosing a plan, you allow us, through our payment processor Stripe, to charge your card at the start of each billing period.
- Choosing a plan during your trial. If you choose a monthly plan during your free trial, your first charge happens when the trial ends. Yearly plans are paid up front when you choose them and do not include the free trial.
- Special prices. If you sign up for a plan at a special price, such as an early bird price, you keep that price as long as your subscription stays active on that plan. If you cancel or switch plans, the special price ends.
- Price changes. We may change our prices. We will tell you by email at least 30 days before a change affects your next renewal.
- Taxes. Prices do not include taxes. If sales or other taxes apply, they will be added to your charges.
- Changing plans. You can change plans under Manage billing. Changes are prorated by Stripe for the rest of the billing period.
6. Cancelling and refunds
You can cancel any time under Settings, Plan and billing, Manage billing. When you cancel, you are not charged again, and you keep access until the end of the period you already paid for. We do not give refunds or credits for partly used billing periods, unused features, or time when your account was open but not in use, except where the law requires it.
7. When a trial ends or a payment fails
If your free trial ends without a plan, or a payment fails, Gold Tally becomes view only for 7 days. During that time you can still see and download your information, but check-ins and changes are not saved. After 7 days, the account is locked until a plan is chosen or payment is fixed. Your center data stays saved while your account is view only or locked, as described in section 8.
8. Closing your account and deleting data
If you cancel, or your account stays locked, we keep your center data for 90 days so you can come back or download it. After 90 days, we delete your center data. You can also ask us to delete it sooner by writing to support@goldtally.app from the owner's email address. We may keep billing records, such as invoices and payment history held by Stripe, as long as the law requires.
9. Acceptable use
Do not use Gold Tally to:
- break the law or anyone's rights, including privacy rights;
- send texts to anyone who has not agreed to receive them, or send messages other than center notices such as pickup texts;
- try to get into accounts, centers or data that are not yours, or test, scan or attack Gold Tally's security;
- copy, resell or rebuild Gold Tally, or use it to build a competing product;
- overload or disrupt Gold Tally.
We may suspend or close an account that breaks these rules. Where it is reasonable, we will contact you first.
10. Our service
We work to keep Gold Tally running, safe and useful, and we may improve or change features over time. If we remove a major feature of a paid plan, we will tell you in advance. Gold Tally depends on the internet and on outside providers, so it may sometimes be unavailable. Keep your own copies of anything you need for payroll, billing families or official records.
11. Ownership and feedback
Saruje owns Gold Tally, including its software, design and name. These terms give your center permission to use Gold Tally while your account is in good standing. They do not transfer ownership of Gold Tally to you. If you send us ideas or suggestions, we may use them without owing you anything.
12. Disclaimers
Gold Tally is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Gold Tally helps staff keep track of attendance and pickups. It does not replace staff supervision of children, and your center remains responsible for the safety and supervision of students in its care.
13. Limit of liability
To the extent the law allows, Saruje will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Saruje's total liability for all claims about Gold Tally is limited to the amount your center paid us for Gold Tally in the 12 months before the event that led to the claim.
14. Indemnity
Your center will defend and hold Saruje harmless from claims by others that come from center data, from texts your center sends, or from your center breaking these terms or the law.
15. Changes to these terms
We may update these terms. If a change is important, we will tell account owners by email or in the app at least 30 days before it takes effect. If you keep using Gold Tally after a change takes effect, the new terms apply. If you do not agree, you can cancel.
16. Governing law
These terms are governed by the laws of the State of Maryland, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Maryland, and both sides agree to those courts.
17. Other terms
If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a part of these terms right away, we can still enforce it later. You may not transfer these terms to someone else without our written permission. We may transfer them if Gold Tally is sold or reorganized. These terms and our Privacy Policy are the whole agreement between you and us about Gold Tally.
